Terms and Conditions of Trade

The following terms and conditions govern the use of our website (www.Shipping-and-Handling.com) and provides the contractual agreement between us for the tangible services we may provide for you.

BY ACCESSING THE WEBSITE OR USING ANY PART OF THE WEBSITE OR ANY OF OUR SERVICES, YOU AGREE TO BECOME BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS, THEN YOU MAY NOT ACCESS THE WEBSITE OR USE ANY OF OUR SERVICES.

1. Notices
To use the Shipping-and-Handling.com services you must maintain a valid email address that does not block Shipping-and-Handling.com’s automated notification emails from being received. Emails sent from Shipping-and-Handling.com are deemed as full and complete notice of account status. Unless we receive notice that the email was not delivered such notice shall be considered to be received by you within 24 hours of the time it is emailed to you.

2. Our Services
Shipping-and-Handling.com helps you accept shipments from and make shipments to third parties. Shipping-and-Handling.com is an independent contractor for all purposes, except that Shipping-and-Handling.com acts as your agent only with respect to the custody of your merchandise. Shipping-and-Handling.com is a shipping broker and not a shipping carrier. Shipping-and-Handling.com does not have control of or liability for the carriage of any products.We reserve the right, at our sole discretion, to refuse any incoming or to make outgoing shipment at any time.

3. Service Provision.
To utilize our Services, you must be at least 18 years old and a resident of the United States. You authorize Shipping-and-Handling.com, directly or through third parties, to make any inquiries we consider necessary to validate your identity. This may include asking you for further information, requiring you to take steps to confirm ownership of your email address or financial instruments, ordering a credit report and verifying your Information against third party databases or through other sources.

Acceptable Use of the Service Provision or website, you will not:

Violate or attempt to violate any Federal or State law, statute, ordinance, or regulation (including but not limited to: narcotics laws, consumer protections, unfair competition, anti-discrimination or false advertising);

Infringe Shipping-and-Handling.com’s or any third party’s copyright, patent, trademark, trade secret or other intellectual property rights, or rights of publicity or privacy;

Conduct your business or use the Services in a manner that results in or may result in complaints, Refused Shipments, Returns, Disputes, Claims, penalties and other liability to Shipping-and-Handling.com, a User, a third party or you;

Use the Services in a manner that Shipping-and-Handling.com, PayPal, Visa, MasterCard, American Express or Discover reasonably believe to be an abuse of the credit card system or a violation of credit card association or PayPal rules;

Use the Services to send, or assisting in sending, unsolicited mail to third parties.

4. Warehousing and Storing your Merchandise
You will obtain advance approval from Shipping-and provide Shipping-and-Handling.com that you may ship your merchandise to our warehouse. You must comply with all applicable local, state and federal laws, including those governing packing, marking and labeling for all shipments. Providing information concerning the inventory which is accurate, complete and sufficient to allow Shipping-and-Handling.com to comply with all laws and regulations concerning the storage, handling and transporting of the stored inventory. Your will indemnify and hold Shipping-and-Handling.com harmless from all loss, cost, penalty and expense (including reasonable attorneys’ fees) which Shipping-and-Handling.com pays or incurs as a result of you failing to fully discharge this obligation.

Upon receiving your merchandise, Shipping-and-Handling.com does not audit for accuracy all product weighs and measurements nor all inventory counts as stated in the packing list and is not liable for any discrepency.

Your shipped merchandise to us must be free and clear of all duties and fees BEFORE arriving at Shipping-and-Handling.com. You must be the ultimate consignee, and take responsibility for your merchandise clearing any customs, government or carrier inspections. If merchandise arrives at Shipping-and-Handling.com, and customs, duties or fees are applicable to the shipment, these fees will be billed to your account and your merchandise held until all applicable fees are paid. Shipping-and-Handling.com cannot be the Importer of Record for your merchandise.

Shipping-and-Handling.com is not responsible for carrier fees or any third party associated fees connected with receiving your merchandise, including but not limited to any demurrage fees which may be applied by the carrier.

5. Packing and Shipping Your Merchandise.
You must provide Shipping-and-Handling.com accurate weight and dimensions. Shipping-and-Handling.com relies on these for shipping cost estimates. If your weight or dimensions are smaller than actual, Shipping-and-Handling.com shipping estimates will be low when the actual shipping price applied by the carrier is added to your account. Packing and Shipping Rates and service quotations will be based upon the information provided by you, but final rates and service charges may vary based upon the actual shipment made.

You are responsible for the accuracy and deliverability of all order shipping addresses including, but not limited to, addresses completeness, commercial/residential address status, and rural address status. You will be responsible for any applicable address correction fees, or for any difference in shipping cost due to differences between your provided address and the actual address and status applied by the carrier.

Shipping-and-Handling.com assume no obligation to commence or complete transportation of a shipment within any specific time period. Shipping-and-Handling.com shall not be liable for delays in obtaining and loading cars, trailers or other containers for outbound shipment. In the case of acts of God, war, public enemies, seizure under legal process, strikes, lockouts, riots and civil commotions, or any reason beyond Shipping-and-Handling.com’s control, or because of loss or destruction of goods for which Shipping-and-Handling.com is not liable, or because of any other excuse provided by law, Shipping-and-Handling.com shall not be liable for failure to carry out any such shipping instructions.

6. Fees.
Monthly Fees are charged per calendar month or part thereof and invoiced on the last working day of each calendar month, as listed on the Shipping-and-Handling.com website or by seperate written agreement with you. Monthly fees commence in the calendar month during which we receive merchandise from you and cease in the calendar month during which we no longer store any merchandise for you. Monthly fees are per whole calendar month and not pro ratable. Shipping-and-Handling.com monthly fee pricing is subject to change.

Third party Shipping Fees as well as any fees for additional services you request are charged either to your account with a carrier or to your account with us. Each of these fees is added to your Shipping-and-Handling.com account balance on the day of activity and are invoiced on the last working day of each week and payable by return mail.

7.Closing Your Account.
If you ship all your merchandise out of Shipping-and-handling.coms warehouse your monthly fee will automatically cease at the end of that calendar month. Your account will remain available to you at no charge.

If any properly applied fees to your account remain unpaid for a period of 30 days, your account will be classified as an Abandoned Account. All rights to ownership of funds and inventory are immediately forfeited by you. Inventory will become immediately and irrevocably unavailable, and liquidated proceedings will begin. You agree the inventory will be free and clear of liability, and that you will assume any liability therefore. You will have no rights to the liquidation proceeds.

Shipping-and-Handling.com reserves the right to terminate an account with 30 days notice, with no cause or reason. We will send you an email notifying you of termination in 30 days, without cause. You will receive a second notice 15 days prior. It is your responsibility to make sure Shipping-and-Handling.com has a working email for you. You may have full use of your account during this time with the intention of allowing you to ship all existing inventory.

8. Disputes with Shipping-and-Handling.com.
Insurance is available, and strongly recommended. Inbound shipping insurance, off-site inventory insurance, and outbound shipping insurance.

Receiving problems must be resolved through inbound shipping insurance. If there is a discrepancy between what is expected, and what is actually received, you agree that filing a claim with your inbound shipping insurance provider is your only recourse, and that Shipping-and-Handling.com has no liability therefore. A discrepancy may be in quantity, condition of merchandise, or otherwise. Shipping-and-Handling.com does not offer inbound shipping services.

Inventory problems must be resolved through off-site inventory insurance. If you dispute the inventory as described in your account, you agree that filing a claim with your off-site inventory provider is your only recourse, and that Shipping-and-Handling.com has no liability therefore.

Shipping problems for loss or damage must be resolved through outbound shipping insurance. Once a tracking number is listed in your Account, you agree that your only recourse for loss or damage is to file a claim with your outbound insurance provider, and that Shipping-and-Handling.com has no liability therefore.

Except as otherwise agreed by the parties in writing you agree that any claim or dispute you may have against Shipping-and-Handling.com must be resolved by a court located in Duval County, Florida. You agree to submit to the personal jurisdiction of the courts located within Duval County , Florida for the purpose of litigating all such claims or disputes. This Agreement shall be governed in all respects by the laws of the State of Florida, without regard to conflict of law provisions.

All attorneys’ fees and costs incurred by Shipping-and-Handling.com relating in any way to Shipping-and-Handling.com’s activities referred to in this agreement, in addition to any other relief to which it may be entitled,  shall be charged to you.

Shipping-and-Handling.com shall have a lien against your merchandise and on the proceeds thereof for all charges for storage, handling, transportation (including demurrage and terminal charges), insurance, labor and other charges present or future with respect to the inventory, advances or loans by Shipping-and-Handling.com in relation to the inventory and for expenses necessary for preservation of the inventory or reasonably incurred in their sale pursuant to law.

To use the Shipping-and-Handling.com Service, you must agree to waive all of Shipping-and-Handling.com’s liability for loss, damage, theft or late shipments.

9. Complete Agreement
This Agreement sets forth the entire understanding between you and Shipping-and-Handling.com with respect to our website and the Services and supersedes all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Shipping-and-Handling.com. All individual sections, and all individual terms, which by their nature should survive, will survive the termination of this Agreement. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be limited or struck to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable.
